IBM Acquires HashiCorp for $6.4B: A Strategic Move in Cloud

IBM Is Buying HashiCorp

IBM has officially announced its acquisition of HashiCorp, a significant move that underscores IBM’s strategic ambitions in the cloud and infrastructure management space. The acquisition, valued at $6.4 billion, will see IBM pay $35 per share in an all-cash deal, pending approval from shareholders and regulatory authorities.

The decision to acquire HashiCorp comes at a crucial juncture for both companies. For IBM, the acquisition represents a strategic opportunity to bolster its cloud offerings and expand its footprint in the rapidly evolving cloud market. The acquisition is expected to be accretive to IBM’s Adjusted EBITDA within the first full year post-close, with free cash flow turning positive in year two. HashiCorp, founded in 2012, has carved out a niche for itself in the cloud infrastructure automation and management space. The company’s flagship products, Terraform and Vault, have gained widespread adoption among enterprises looking to streamline their infrastructure management and enhance their security posture.

However, despite its success, HashiCorp has faced challenges in recent years, particularly in achieving profitability. The company’s net dollar retention rate has declined from 134% in FY2023 to 115% in Q4 of FY2024, reflecting softer revenue growth and a need to reevaluate its business strategy.

In response to these challenges, HashiCorp has undergone significant changes, including a shift away from open-source licensing and the appointment of Susan St Ledger as President, Worldwide Field Operations in July 2023. These changes are indicative of HashiCorp’s efforts to realign its business and address the underlying issues impacting its growth.

For IBM, the acquisition of HashiCorp represents a strategic opportunity to strengthen its position in the cloud and infrastructure management market.
